- Melanie Kreis, Heyo Kroemer, Jonathan Lewin, Pascale Witz to be proposed to 2027 ASM
- Roland Busch to resign; mandates of Veronika Bienert, Marion Helmes, Karl-Heinz Streibich expiring
- Ralf Thomas and Peter Koerte to be proposed for reelection
The supervisory board of Siemens Healthineers AG will propose four new shareholder representatives to the company’s 2027 annual shareholders’ meeting, as the mandates of three shareholder representatives end and one further member will resign. The aim is to further strengthen the supervisory board’s clinical and financial expertise while also preparing for Siemens Healthineers’ increasingly standalone setup in the future.
The candidates to be proposed are: Melanie Kreis, CFO of DHL Group; Prof. Dr. Heyo Kroemer, CEO of Charité – Universitaetsmedizin Berlin; Prof. Jonathan Lewin, M.D., Department of Radiology and Imaging Sciences at Emory University School of Medicine; and Pascale Witz, a supervisory board member of several healthcare companies including Fresenius Medical Care AG. They would follow CEO Dr. Roland Busch and CFO Veronika Bienert of Siemens AG, as well as Dr. Marion Helmes and Karl-Heinz Streibich. Whilst the mandates of Veronika Bienert, Marion Helmes and Karl-Heinz Streibich come to a regular end at the end of the 2027 annual shareholders’ meeting, Roland Busch will resign as communicated earlier, before the end of his term. Chairman Prof. Dr. Ralf P. Thomas and Dr. Peter Koerte are to be proposed for reelection, to ensure stability and continuity.
“Siemens Healthineers has developed very successfully in recent years, and set important foundations for the next part of its journey,” said Ralf Thomas. “To provide Siemens Healthineers AG with the best possible support on its future path, we intend to develop the supervisory board in a targeted manner, further strengthening its clinical and financial expertise, and combining renewal with stability and continuity. On behalf of the supervisory board, I would like to express my sincere thanks to Veronika Bienert, Roland Busch, Marion Helmes and Karl-Heinz Streibich for their great commitment and valuable contributions to the development of Siemens Healthineers during their tenure.”
The planned nominations are part of a long-term succession plan. They are intended to preserve the board’s existing knowledge while selectively expanding its expertise in the areas that are key to Siemens Healthineers. This will enable the board to provide the company with expert support as it executes on its strategic ambition of Elevating Health Globally and becomes a more standalone company.
In Heyo Kroemer, CEO of the Charité – Universitaetsmedizin Berlin, and Jonathan Lewin, M.D., professor of radiology at Emory University School of Medicine, also lecturing in biomedical engineering and neurosurgery, Siemens Healthineers has secured two recognized experts in the fields of healthcare delivery and in the four priority disease areas of the “Elevating Health Globally” strategy. Melanie Kreis, CFO of DHL Group, would bring proven financial expertise and extensive management experience, while Pascale Witz, who, among other roles, serves on the supervisory boards of Fresenius Medical Care AG and Revvity Inc., has decades of experience managing businesses in the healthcare industry, and extensive financial expertise.
The proposed reelections of Ralf Thomas and Peter Koerte – who would be the sole Siemens representative on the board in future – are intended to ensure stability and continuity. While Peter Koerte’s current mandate will end upon the close of the 2027 annual shareholders’ meeting, Ralf Thomas’s current mandate is scheduled to run until the close of the 2029 annual shareholders’ meeting. His planned early reelection until 2031 is intended to support stability as well as forward-looking succession planning for the position of future chair of the supervisory board.
The corresponding election proposals will be submitted to the shareholders with the notice convening the 2027 annual shareholders’ meeting, which is yet to be approved.
