teamplay Fleet 이용약관

1. 범위

  • 1.1. 2항에 명시된 모든 서비스를 이용할 목적으로 Siemens Healthcare GmbH 및/또는 그 계열사(이하 "지멘스")가 제공하는 웹사이트https://fleet.siemens-healthineers.com/ 및 해당 하위 도메인(이하 "teamplay Fleet 사이트")를 이용할 때는 본 이용 약관(“이용 약관”)이 적용됩니다. 제품과 서비스 구매에는 다른 약관이 적용됩니다. 등록 및 로그인 시, 사용자는 당시 유효한 버전의 이용 약관에 동의해야 합니다 (“사용자”).
  • 1.2. 지멘스는 합리적 재량에 따라 본 이용 약관을 언제든지 갱신할 권한을 갖습니다. 특히 지멘스 서비스 제품의 업데이트나 기능 개선 또는 해당 법률의 변경이 발생할 경우 지멘스가 본 이용 약관을 수시로 갱신해야 할 수 있습니다.
  • 1.3 기업 또는 공공 기업(“고객”)을 대상으로 제공되는 웹 서비스 상품의 경우, 고객은 사용자로 표시합니다.


2. 서비스

  • 2.1. teamplay Fleet 사이트에는 일반 정보와 고객별 정보 외에도 상황에 따라 열람하거나 다운로드 할 수 있는 소프트웨어 및 관련 문서가 수록되어 있습니다. teamplay Fleet의 정보가 계약상 합의된 내용과 상충될 경우, 계약 내용이 teamplay Fleet의 정보에 우선합니다.
  • 2.2. 지멘스는 teamplay Fleet 사이트의 운영을 부분 또는 전체적으로 언제든지 중단하고 다른 수단을 통해 계약상의 정보/문서를 제공할 수 있습니다. 지멘스는 teamplay Fleet 사이트의 지속적인 이용 가능성에 대한 법적 책임을 지지 않습니다.
  • 2.3 지멘스는 사용자가 접속한 teamplay Fleet 사이트를 수정, 업데이트 및 업그레이드하거나 새로운 버전을 제공할 수 있습니다.
  • 2.4. teamplay Fleet 사이트는 "있는 그대로" 제공되며 지멘스는 사이트 이용 과정에서 오류나 서비스 장애가 절대 발생하지 않는다고 보장 또는 보증하지 않습니다.


3. 등록, 비밀번호

  • 3.1. teamplay Fleet 사이트의 일부 페이지는 비밀번호로 보호됩니다. 따라서 사업 거래의 안전과 보안을 위해, 등록된 사용자만 해당 페이지에 액세스할 수 있습니다. 지멘스는 어떤 사용자든 등록을 거부할 수 있습니다. 특히 지멘스는 자유롭게 액세스가 허용되었던 특정 사이트를 등록제로 전환할 수 있습니다. 지멘스는 언제든지 특별한 사유 없이, 특히 사용자가 다음의 경우에 해당할 때 해당 사용자의 비밀번호 보호 영역에 대한 액세스를 거부할 수 있습니다.

- 허위 데이터를 입력하여 등록한 경우

- 본 이용 약관을 위반하거나 사용자 데이터에 관한 주의 의무를 소홀히 한 경우

- teamplay Fleet 사이트에 접속하거나 이용하는 과정에서 관련 법률을 위반한 경우

- teamplay Fleet 사이트를 장기간 이용하지 않은 경우

  • 3.2. 등록하려는 기업 고객은 한 명의 고객 관리자(이하 "관리자")를 임명해야 합니다. 사용자는 정확한 정보를 제공해야 하며, 해당 정보가 추후 변경될 경우 최신 정보를 (가능한 한 온라인으로) 지체 없이 제공해야 합니다. 사용자는 지멘스에게 항상 정확한 이메일 주소와 연락 가능한 주소를 제공해야 합니다.
  • 3.3. 등록과 동시에 사용자 ID와 비밀번호(이하 “사용자 데이터”)로 구성된 접속 코드가 관리자에게 제공됩니다. 최초 접속 시 사용자는 지멘스가 제공한 비밀번호를 자신만이 알 수 있는 것으로 즉시 변경해야 합니다. 사용자는 사용자 데이터를 통해 데이터를 열람하거나 변경할 수 있으며, 상황에 따라 데이터 처리에 대한 동의를 취소할 수도 있습니다.
  • 3.4 관리자는 사용자 ID를 기업 고객이 지명한 직원들에게 배포할 수 있습니다. 직원들은 사용자 ID를 이용하여 계정을 만들 수 있는데, 그와 같은 경우 추측하기 어려운 비밀번호를 설정하여 계정을 안전하게 보호해야 합니다.
  • 3.5. 사용자는 제3자가 사용자 데이터에 접근하지 못하도록 조치해야 하며 자신의 사용자 데이터를 통해 이뤄진 모든 거래와 기타 활동에 대해 전적으로 책임져야 합니다. 사용자는 온라인 세션이 끝날 때마다 비밀번호로 보호되는 웹사이트에서 로그오프해야 합니다. 자신의 사용자 데이터를 제3자가 오용하고 있음을 알게 된 사용자는 지체 없이 서면으로 또는 상황에 따라 이메일로 지멘스에 그 사실을 신고해야 합니다.
  • 3.6. 3.5절에 따른 신고를 받은 경우 지멘스는 해당 사용자 데이터가 속한 비밀번호 보호 구역에 대한 액세스를 차단합니다. 이 같은 사용자는 지멘스에 신청하거나 신규 등록을 한 경우에만 다시 액세스할 수 있습니다.
  • 3.7 사용자는 언제든지 자신의 등록을 취소하도록 요구할 수 있습니다. 단, 진행 중인 계약 관계와 취소가 상충되지 않아야 합니다. 이 경우 지멘스는 계약 관계 이행에 더 이상 필요하지 않게 되면 모든 사용자 데이터와 여타 개인 데이터를 신속히 삭제합니다.


4. 정보, 소프트웨어, 문서 사용 권리

  • 4.1. teamplay Fleet 사이트에서 또는 teamplay Fleet 사이트를 통해 제공된 정보와 소프트웨어 및 문서를 사용할 때는 본 약관이 적용되며, 정보나 소프트웨어 또는 문서를 업데이트하는 경우에는 지멘스와 앞서 합의한 라이선스 조건이 적용됩니다. 별도 합의한 라이선스 조건(예: 소프트웨어 다운로드 또는 사용효율 관리 부록)은 본 이용 약관에 우선 적용됩니다.
  • 4.2. 지멘스는 teamplay Fleet 사이트에서 또는 teamplay Fleet 사이트를 통해 제공되는 문서에 대해 알아야 할 필요가 있는 경우에 한해 기업 고객의 계열사에게만 양도할 수 있는 비독점 라이선스를 부여합니다. 소프트웨어 또는 소프트웨어 툴에 대한 추가 라이선스는 부여되지 않습니다.
  • 4.3. teamplay Fleet 사이트에 오픈 소스 소프트웨어("OSS”)가 포함되어 있을 경우 고객과 사용자는 해당 라이선스 조건에 따라 OSS를 사용해야 합니다. 해당 OSS 및 라이선스 조건에 관한 정보는 지멘스가 Readme_OSS 파일을 통해 또는 설명서의 한 부분으로 제공합니다. 각 OSS의 라이선스 조건은 해당 OSS에 관한 본 이용 약관에 우선합니다. OSS의 라이선스 조건이 해당 OSS의 소스 코드 배포를 요구한다면, 지멘스는 서면 요구가 있을 경우 발생 비용(예: 배송, 취급 수수료)을 지급받고 해당 소스 코드를 제공합니다.
  • 4.4. 사용자는 때를 불문하고 정보, 문서를 제3자에게 배포할 수 없으며 대여하거나 기타 방법으로 제공할 수 없습니다. 사용자는 법이 허용하지 않는 한 teamplay Fleet 사이트나 문서를 변경할 수 없으며 teamplay Fleet 사이트의 일부로 사용되는 소프트웨어를 해체, 역설계 또는 역분해해서는 안 되며 그 일부를 분리할 수 없습니다.
  • 4.5. 정보와 소프트웨어 및 문서는 저작권법과 국제 저작권 조약, 기타 지적 재산 관련 법률과 협정의 보호를 받습니다. 사용자는 전술한 법률을 준수해야 하며, 특히 정보나 소프트웨어, 문서의 원본 또는 사본에서 영숫자 코드나 마크, 저작권 공지를 변경, 은폐 또는 제거할 수 없습니다.


5. 지적 재산

  • 5.1. 본 이용 약관 4항의 특별 규정과 별도로, teamplay Fleet 사이트에 수록된 정보와 브랜드명 및 기타 콘텐츠는 지멘스의 사전 서면 허가 없이 어떤 방식으로도 변경, 복사, 복제, 판매, 대여, 사용, 보완 또는 사용할 수 없습니다
  • 5.2. 본 약관에서 명시적으로 제공하는 이용 권리와 기타 권리를 제외하고, 다른 권리는 사용자에게 제공되지 않으며 묵시적으로 추가 권리의 제공 의무도 존재하지 않습니다. 특허권과 라이선스는 모두 명시적으로 배제됩니다.
  • 5.3. 지멘스는 제품 개발, 개선 및 판매 목적으로 사용자가 teamplay Fleet 사이트에 저장한 아이디어나 제안서를 무료로 사용할 수 있습니다.


6. 사용자의 의무

  • 6.1. teamplay Fleet 사이트에 접속하거나 사용 중인 사용자는 다음과 같은 행위를 절대 삼가야 합니다.

- 타인, 특히 소수자를 해하거나 인권을 침해하는 행위

- 이용 시 공중 도덕을 위반하는 행위

- 지적재산권 또는 기타 재산권을 침해하는 행위

- 트로이 목마와 같은 바이러스가 들어 있는 콘텐츠나 기타 멀웨어를 업로드하는 행위

- 사용자에게 권리가 없는 하이퍼링크 또는 콘텐츠, 특히 기밀의무에 위배되거나 불법인 하이퍼링크 또는 콘텐츠를 전송, 저장 또는 업로드 하는 행위

- 바이러스, 결함 또는 그와 유사한 자료에 대한 부정확한 경고나 광고 또는 유인성 이메일을 유포하는 행위

- 복권, 스노우볼 시스템, 행운의 편지, 피라미드 게임, 기타 유사 활동을 요청하거나 유도하는 행위

  • 6.2 지멘스는 고객이 teamplay Fleet 사이트를 총체적인 최첨단 보안 개념에 통합할 것을 권고합니다. 고객은 teamplay Fleet 사용과 관련된 모든 기술적 개정과 변경 내용이 IT 보안 개념 및 고객의 개별 보안 요구사항과 양립할 수 있도록 해야 합니다.


7. 하이퍼링크
teamplay Fleet 사이트는 타사의 웹 페이지로 연결되는 하이퍼링크를 포함할 수 있습니다. 지멘스는 이러한 웹 페이지의 정보를 통제하지 않으며 해당 콘텐츠와 정보에 책임을 지지 않습니다. 따라서 지멘스는 해당 웹 페이지의 콘텐츠로 인한 손해에 대해 배상할 책임이 없으며 그 웹 페이지나 콘텐츠에 대하여 어떠한 진술이나 보장도 하지 않습니다. 그러한 웹 페이지의 이용에 따른 위험은 전적으로 사용자의 책임입니다.


8. 소유권 또는 품질 하자에 대한 배상책임

  • 8.1. 정보, 소프트웨어 또는 문서가 무료로 제공되는 한, 그 정보, 소프트웨어 또는 문서의 품질이나 소유권 관련 하자에 대한 배상 책임, 특히 하자의 정정이나 부재, 배상청구 또는 제3자 권리의 부재 또는 완전성이나 목적의 적합성과 관련된 배상 책임은 제외됩니다. 단, 고의적인 위법행위나 사기의 경우는 예외로 합니다.
  • 8.2. teamplay Fleet 사이트에 수록된 정보에는 개별 제품의 기술적 가능성과 관련된 일반적 설명이나 사양이 포함되어 있을 수 있으나 경우에 따라(예: 제품 변경) 실제와 다를 수 있습니다. 그러므로 제품의 필수 성능에 대해서는 구매 시점에서 개별적으로 상호 합의해야 합니다.


9. 기타 책임, 바이러스

  • 9.1. 품질 및 소유권 관련 하자에 대한 지멘스의 배상책임은 본 이용 약관 8 항의 규정에 따라 결정됩니다. 법에서 요구하지 않거나 고의적인 위법행위, 중과실, 상해, 사망, 보장된 특징의 불충족, 하자에 대한 사기성 은폐, 기본 계약 의무의 위반과 같은 경우가 아닌 한, 지멘스는 추가적인 책임을 지지 않습니다. 계약상 기본 의무의 위반으로 인한 배상액은 고의 또는 중과실이 아닌 한 일반 계약상의 예측 가능한 손해로 한정됩니다.
  • 9.2. 지멘스는 teamplay Fleet 사이트가 바이러스와 악성 코드에 감염되지 않도록 최선의 노력을 기울이지만 바이러스/악성 코드가 없다고 보장할 수는 없습니다. 사용자는 본인의 안전을 위해 필요한 조치로써 적절한 보안 조치 수준을 확보하고 정보나 소프트웨어, 문서를 내려 받기 전에 바이러스를 체크해야 합니다.


10. 수출 관리법 준수

  • 10.1. 지멘스로부터 제공받은 정보와 소프트웨어 및 문서를 제3자에게 전달하는 경우 사용자는 적용되는 모든 국가 및 국제 수출 관리법을 준수해야 합니다. 상기의 경우에 사용자는 독일 연방 공화국, 유럽연합, 그리고 미국의 수출 관리법을 준수해야 합니다.
  • 10.2. 사용자는 지멘스로부터 제공받은 정보와 소프트웨어 및 문서를 제3자에게 전달하기에 앞서 적절한 조치를 통해, 특히 하기의 사항을 확인 및 준수해야 합니다.

- 지멘스로부터 제공받은 정보와 소프트웨어 및 문서와 관련된 기타 경제적 자원에 관한 규정에 준하여 유럽연합, 미국 및/또는 국제연합이 시행하는 통상 금지령에 위반되지 않는지 확인하되, 국내 사업 제한 및 통상 금지령 우회 금지 조항도 함께 고려해야 합니다.

- 지멘스로부터 제공받은 정보와 소프트웨어 및 문서를 군비, 핵 기술 또는 핵 무기와 관련하여 사용하지 않아야 합니다. 필요한 승인을 받지 않은 한 그와 같은 용도로 사용하는 것은 금지되어 있습니다.

- 유럽연합과 미국이 주체, 사람 및 조직의 무역을 규제하는 제재 기업 명단(SPL)에 관한 모든 해당 규정을 고려해야 합니다.

  • 10.3. 관할 기관이나 지멘스가 수출 관리 검사를 실시하는 데 필요한 경우, 사용자는 지멘스가 요청한 즉시 지멘스로부터 제공받은 정보와 소프트웨어 및 문서의 최종 사용자, 목적지, 용도 외에도 적용되는 모든 수출 관리 규제가 구체적으로 명시된 정보를 지멘스에 제공해야 합니다.
  • 10.4. 사용자는 본인의 수출 관리법 위반 행위로 파생된 모든 배상, 법적 조치, 소송, 벌금, 손실, 비용 및 피해에 대해 지멘스를 면책하고 보호해야 합니다. 또한 사용자는 그와 같은 위반이 자신의 과실에서 비롯된 경우 그로 인해 발생한 모든 손해와 비용을 지멘스에 배상해야 합니다. 단, 본 조항과 관계없이 지멘스의 피해 입증 책임은 유효합니다.
  • 10.5. 지멘스는 국내 및 국제 해외무역 및 관세 요건 또는 통상금지나 기타 제재 조치로 인하여 발생하는 장애 요인들에 의한 방해가 없음을 전제로 본 계약상 의무를 이행해야 합니다.


11. 개인정보보호/데이터 사용

  • 11.1 지멘스는 teamplay Fleet 사이트 사용자의 개인 식별 정보를 수집, 이용, 처리할 때 개인정보보호에 관한 법률과 teamplay Fleet 사이트 개인보호정책(teamplay Fleet 사이트에 수록된 하이퍼링크에서 확인 가능)을 준수합니다.
  • 11.2 사용자는 지멘스나 지멘스를 대리한 제3자가 지멘스의 내부 업무 이행을 위해, 예를 들어 본 이용 약관 준수를 위해 필요한 범위 내에서 사용자의 teamplay Fleet 접속 및 사용 내역을 모니터링할 수 있다는 것에 동의합니다.
  • 11.3 지멘스는 서비스 및 보유 장비 개선을 위해 지속적으로 노력하고 있습니다. 시스템 가용성을 최적화하고 품질 보증을 위해 지멘스는 기술 데이터(예: 장치 속성, 성능 매개변수) 및 지멘스 시스템의 시스템별 사용 데이터 등 특정한 비개인 데이터를 사용합니다. 고객은 여기서 지멘스나 그 계열사들이 그러한 데이터에 대한 접속, 수집, 저장, 복사, 수정, 분석, 게시를 수행하거나 기타 방식으로 사용하는 것을 승인합니다. 또한 고객별 데이터를 고객 또는 사용자 신원 파악이 불가능한 방식으로 익명화한다는 것을 전제로, 고객은 지멘스와 지멘스 계열사들이 지멘스의 상업적 비즈니스를 위해 영구적이며 양도 불가능한 방식으로 해당 데이터를 저장, 복사, 수정, 분석, 게시하거나 기타 다른 방식으로 사용할 권한을 부여합니다.
  • 11.4 해당 법률 및 규정에 따라 Siemens는 사용자의 비즈니스 요구사항을 충족하기 위해 사용자에게 자사 제품/서비스에 관한 마케팅 자료를 전자식으로 또는 인쇄 문서로 전송할 수 있습니다. 사용자가 Siemens에게 서면 또는 전자식 통지를 통해서 명시적으로 철회하지 않는 한, 사용자는 그러한 마케팅 자료 수령에 동의합니다.


12. 관할 사법지역, 준거법

  • 12.2. 관할 사법지역은 서울이 됩니다.
  • 12.3. teamplay Fleet 사이트의 각 페이지는 Siemens Healthcare GmbH 및/또는 그 계열사가 운영하고 관리합니다. 각 페이지는 담당 회사가 소재한 국가에서 적용되는 법률에 따릅니다. 지멘스는 teamplay Fleet 사이트에 수록된 정보와 소프트웨어 및/또는 문서가 해당 국가 외부에서 열람 혹은 다운로드하기 적합하다고 보증하지 않습니다. 사용자가 해당 국가 외부에서 teamplay Fleet 사이트에 접속한 경우 해당 현지 법률을 전적으로 준수해야 합니다. 해당 국가에서 teamplay Fleet 사이트에 수록된 정보와 소프트웨어 및/또는 문서를 불법으로 규정하고 있는 경우 이를 이용하는 행위를 금지합니다. 이 경우 사용자가 지멘스와 사업하고자 하는 경우, 사용자는 지멘스의 해당 국가 및 해당 사업 담당자에게 문의해야 합니다.
  • 12.4. 본 이용 약관은 법률의 적용을 받으며 본 이용 약관 또는 그 대상과 관련된 분쟁은 모두 대한민국 법률에 따라 해결해야 합니다. 단, 국제사법 원칙은 제외됩니다. 1980년 4월 11일 제정된 국제물품매매계약에 관한 UN 협약은 적용되지 않습니다.

 

13 일반 사항
본 이용 약관의 임의 조항이 무효 또는 집행 불가능하다는 주장이 제기될 경우에도 잔여 조항들은 완전한 효력을 유지합니다.


본 이용 약관은 아래 영문 버전이 우선합니다.
1. Scope

  • 1.1. Any use of the web site [https://fleet.siemens-healthineers.com/] and the applicable sub-domains provided by Siemens Healthcare GmbH and/or its affiliates ("Siemens") to make use of all services further specified under section 2, ("teamplay Fleet Site"), is subject to these terms (“Terms of Use”). The purchase of products and services will be subject to different terms and conditions. Upon registration and log-in the user shall accept these Terms of Use in their then current version (“User”).
  • 1.2. Siemens reserves the right to update these Terms of Use at any time in its own reasonable discretion. In particular, updates or enhancement of Siemens’ service offerings or changes in applicable laws may require Siemens to update these Terms of Use from time to time.
  • 1.3 In the case of Web offers aimed at companies or public enterprises (“Customer”), such Customers are represented by the User.


2. Services

  • 2.1. This teamplay Fleet Site contains general as well as customer specific information and - as the case may be – software and related documentation, for viewing or downloading. In case the information in teamplay Fleet contradicts what has been contractually agreed the contractual agreement shall prevail over the information in teamplay Fleet.
  • 2.2. Siemens may stop the operation of the teamplay Fleet Site in full or in part at any time and provide contractually agreed information/documentation through other means. Siemens does not accept any liability for the continuous availability of the teamplay Fleet Site.
  • 2.3 Siemens has the right to modify, update and upgrade the teamplay Fleet Site to which the User has access, or to provide a new version.
  • 2.4. The use of the teamplay Fleet Site is provided “as is” and Siemens does not guarantee or warrant that its use shall be error-free or uninterrupted.


3. Registration, Password

  • 3.1. Some pages of the teamplay Fleet Site are password protected. In the interest of safety and security of the business transactions, only registered Users may access said pages. Siemens reserves the right to deny registration to any User. Siemens particularly reserves the right to determine certain sites, which were previously freely accessible, subject to registration. Siemens is entitled, at any time and without obligation to give reasons, to deny the User the right to access the password-protected area, in particular if the User

- uses false data for the purpose of registration;

- violates these Terms of Use or neglects its duty of care with regard to User Data;

- violates any applicable laws in the access to or use of the teamplay Fleet Site; or

- did not use the teamplay Fleet Site for a longer period.

  • 3.2. For registration the Customer shall nominate one Customer administrator (“Administrator”). User shall give accurate information and, where such information changes over time, update such information (to the extent possible: online) without undue delay. The User shall ensure that its e-mail address, as supplied to Siemens, is current at all times and an address at which the User can be contacted.
  • 3.3. Upon registration the Administrator will be provided with an access code, comprising a User ID and a password ("User Data"). On first access the User shall promptly change the password received from Siemens into a password known only to the User. The User Data allows the User to view or change its data or, as applicable, to withdraw its consent to data processing.
  • 3.4 The Administrator may distribute the User ID to Customer employees nominated by the Customer. The Customer employees may use the User ID to create accounts; in doing so they shall always protect their accounts with a state of the art password.
  • 3.5. The User shall ensure that User Data is not accessible by third parties and is liable for all transactions and other activities carried out under its User Data. At the end of each online session, the User shall log-off from the password protected websites. If and to the extent the User becomes aware that third parties are misusing its User Data the User shall notify Siemens thereof without undue delay in writing, or, as the case may be, by e-mail.
  • 3.6. After receipt of the notice under paragraph 3.5, Siemens will deny access to the password-protected area under such User Data. Access by the User will only be possible again upon the User's application to Siemens or upon new registration.
  • 3.7 The User may demand that his/her registration be cancelled at any time, provided that the cancellation does not conflict with on-going contractual relationships. In this case, Siemens will delete all User Data and all other personal data of the User as soon as they are no longer required for the implementation of the contractual relationship.


4. Rights of Use to Information, Software and Documentation

  • 4.1. The use of any information, software and documentation made available on or via this teamplay Fleet Site is subject to these Terms of Use or, in case of updating information, software or documentation, subject to the applicable license terms previously agreed to with Siemens. Separately agreed to license terms, for example software downloads or in the Utilization Management Addendum shall prevail over these Terms of Use.
  • 4.2. Siemens grants User a non-exclusive and transferable only to Customers´ affiliates and on a need to know basis only license to the documentation made available to the User on or via the teamplay Fleet Site. Further licenses especially to any software or software tools are not granted.
  • 4.3. In case the teamplay Fleet Site contains Open Source Software ("OSS”), Customer and User shall use the OSS in accordance with the applicable license conditions. Information about the relevant OSS and license conditions are provided by Siemens, e.g. via a Readme_OSS-file or as part of the documentation. The license conditions of the respective OSS shall prevail over these Terms of Use with respect to the OSS. If the license conditions of the OSS require the distribution of the source code of such OSS Siemens shall provide such source code on written request against payment of occurring costs (e. g. shipping and handling charges).
  • 4.4. Information and documentation may not be distributed by the User to any third party at any time nor may it be rented or in any other way made available. Unless such is allowed by mandatory law, the User shall not modify the teamplay Fleet Site or documentation nor shall it disassemble, reverse engineer or decompile any software used as part of the teamplay Fleet Site or separate any part thereof.
  • 4.5. The information, software and documentation are protected by copyright laws as well as international copyright treaties as well as other laws and conventions related to intellectual property. The User shall observe such laws and in particular shall not modify, conceal or remove any alphanumeric code, marks or copyright notices neither from the information nor from the software or documentation, or any copies thereof.

5. Intellectual Property

  • 5.1. Notwithstanding the particular provisions in section 4 of these Terms of Use, information, brand names and other contents of the teamplay Fleet Site may not be changed, copied, reproduced, sold, rented, used, supplemented or otherwise used in any other way without the prior written permission of Siemens.
  • 5.2. Except for the rights of use and other rights expressly granted herein, no other rights are granted to the User nor shall any obligation be implied requiring the grant of further rights. Any and all patent rights and licenses are expressly excluded.
  • 5.3. Siemens may, without charge, use any ideas or proposals stored by a User on the teamplay Fleet Sites for the development, improvement and sale of its products.


6. Duties of the User

  • 6.1. In accessing or using the teamplay Fleet Site the User shall not

- harm other persons, in particular minors, or infringe their personal rights;

- breach public morality in its manner of use;

- violate any intellectual property right or any other proprietary right;

- upload any contents containing a virus, so-called Trojan Horse, or any other malware- transmit, store or upload hyperlinks or contents to which the User is not entitled, in particular in cases where such hyperlinks or contents are in breach of confidentiality obligations or unlawful; or

- distribute advertising or unsolicited e-mails or inaccurate warnings of viruses, defects or similar material and the User shall not solicit or request the participation in any lottery, snowball system, chain letter, pyramid game or similar activity.

  • 6.2 Siemens recommends Customer to integrate the teamplay Fleet site into a holistic, state-of-the-art industrial security concept. Customer shall ensure that any technical amendments and changes made in connection with the use of teamplay Fleet are compatible with the IT security concept and individual security requirements of Customer.

7. Hyperlinks
The teamplay Fleet Site may contain hyperlinks to the web pages of third parties. Siemens shall have no liability for the contents of such web pages and does not make representations about or endorse such web pages or their contents as its own, as Siemens does not control the information on such web pages and is not responsible for the contents and information given thereon. The use of such web pages shall be at the sole risk of the User.


8. Liability for defects of title or quality

  • 8.1. Insofar as any information, software or documentation is made available at no cost, any liability for defects as to quality or title of the information, software and documentation especially in relation to the correctness or absence of defects or the absence of claims or third party rights or in relation to completeness and/or fitness for purpose are excluded except for cases involving willful misconduct or fraud.
  • 8.2. The information on the teamplay Fleet Site may contain specifications or general descriptions related to the technical possibilities of individual products which may not be available in certain cases (e.g. due to product changes). The required performance of the product shall therefore be mutually agreed in each case at the time of purchase.


9. Other Liability, Viruses

  • 9.1. The liability of Siemens for defects in relation to quality and title shall be determined in accordance with the provisions of section 8 of these Terms of Use. Any further liability of Siemens is excluded unless required by law, or in cases of willful misconduct, gross negligence, personal injury or death, failure to meet guaranteed characteristics, fraudulent concealment of a defect or in case of breach of fundamental contractual obligations. The damages in case of breach of fundamental contractual obligations is limited to the contract-typical, foreseeable damage if there is no willful misconduct or gross negligence.
  • 9.2. Although Siemens makes every endeavor to keep the teamplay Fleet Site free from viruses and malware, Siemens cannot make any guarantee that it is virus-/malware-free. The User shall, for its own protection, take the necessary steps to ensure appropriate security measures and shall utilize a virus scanner before downloading any information, software or documentation.


10. Compliance with Export Control Regulations

  • 10.1. If the User transfers information, software and documentation provided by Siemens to a third party, the User shall comply with all applicable national and international (re-) export control regulations. In any event of such transfer the User shall comply with the (re-) export control regulations of the Federal Republic of Germany, of the European Union and of the United States of America.
  • 10.2. Prior to any such transfer to a third party the User shall in particular check and guarantee by appropriate measures that

- There will be no infringement of an embargo imposed by the European Union, by the United States of America and/ or by the United Nations by such transfer or by provision of other economic resources in connection with information, software and documentation provided by Siemens, also considering the limitations of domestic business and prohibitions of by-passing those embargos;

- Such information, software and documentation provided by Siemens are not intended for use in connection with armaments, nuclear technology or weapons, if and to the extent such use is subject to prohibition or authorization, unless required authorization is provided;

- The regulations of all applicable Sanctioned Party Lists of the European Union and the United States of America concerning the trading with entities, persons and organizations listed therein are considered.

  • 10.3. If required to enable authorities or Siemens to conduct export control checks, the User, upon request by Siemens, shall promptly provide Siemens with all information pertaining to the particular end-User, the particular destination and the particular intended use of information, software and documentation provided by Siemens, as well as any export control restrictions existing.
  • 10.4. The User shall indemnify and hold harmless Siemens from and against any claim, proceeding, action, fine, loss, cost and damages arising out of or relating to any noncompliance with export control regulations by the User, and the User shall compensate Siemens for all losses and expenses resulting thereof, unless such noncompliance was not caused by fault of the User. This provision does not imply a change in burden of proof.
  • 10.5. Siemens' obligation to fulfill an agreement is subject to the proviso that the fulfillment is not prevented by any impediments arising out of national and international foreign trade and customs requirements or any embargos or other sanctions.


11. Data Privacy Protection/Use of Data

  • 11.1 For collection, use and processing of personally identifiable data of the User of the teamplay Fleet Site, Siemens shall comply with applicable laws on data privacy protection and the teamplay Fleet Site Data Protection Privacy Policy, which is available per hyperlink on the teamplay Fleet Site.
  • 11.2 The User acknowledges that Siemens or a third party on Siemens’ behalf may monitor the User’s access to and use of the teamplay Fleet for Siemens’ internal business purposes, e.g. to the extent required to ensure compliance with these Terms of Use.
  • 11.3 Siemens constantly works on the improvement of its services and its equipment. To be able to optimize system availability as well as to ensure quality, Siemens uses certain non-personal data such as technical data (e.g. device properties, performance parameters) and system specific usage data of the Siemens systems. The Customer herewith authorizes Siemens or any affiliated company of Siemens, to access, collect, store, copy, modify, analyze, publish or otherwise make use of such data. The Customer further grants Siemens and Siemens affiliated companies the right, but only under the condition that Customer specific data shall be anonymized to the extent that neither Customer nor User identification shall be possible, to store copy, modify, analyze, publish or otherwise make use of such data for Siemens’ own commercial business purposes on a nontransferable, perpetual basis without restrictions in terms of location or content.
  • 11.4 Subject to applicable laws and regulations, Siemens may send marketing materials of its products and/or services electronically or as hard copies to the user with the view of supporting the user’s business needs. The user hereby grants its consent of receiving such materials unless it is explicitly withdrawn by a written or electronic notice to Siemens.

12. Place of Jurisdiction, Applicable Law

  • 12.2. The place of jurisdiction shall be Seoul.
  • 12.3. The individual pages of the teamplay Fleet Site are operated and administered by Siemens Healthcare GmbH and/or its affiliates. The pages comply with the law applicable in the country where the responsible company has its business residence. Siemens makes no representation that information, software and/or documentation on the teamplay Fleet Site are appropriate or available for viewing or downloading at locations outside such country. If Users access teamplay Fleet Site from outside such country, they are exclusively responsible for compliance with all applicable local laws. Access to teamplay Fleet Site's information, software and/or documentation from countries where such content is unlawful is prohibited. In this case and where User seeks to do business with Siemens, the User should contact the Siemens representative for the particular country for country specific business.
  • 12.4. These Terms of Use shall be governed by - and all disputes relating to or in connection with these Terms of Use or their subject matter shall be resolved in accordance with - the laws of the Republic of Korea, to the exclusion of its conflict of laws rules. The application of the United Nations Convention on Contracts for the International Sales of Goods (CISG) of 11 April 1980 is excluded.


13 General
In the event any provision of these Terms of Use is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
